JobSummary :
The Corporate & LegalCounsel will oversee the company's legal activities, ensuringcompliance with Swiss legal and regulatory requirements,particularly in relation to FINMA.
This role includes supportingthe Board of Directors, managing corporate governance, andmaintaining company records.
KeyResponsibilities :
Legal and ComplianceOversight :
- Manage alllegal activities, including drafting and reviewing agreements,prospectuses, and marketing documentation.
- Ensure compliance with statutory and regulatoryrequirements, including corporate governance and FINMAobligations.
- Monitor relevant legislativechanges and ensure the company's compliance with legalobligations.
Board Support andGovernance :
- OrganizeBoard of Directors and committee meetings, including preparingagendas, distributing materials, and recording minutes.
- Advise the Board on governance best practices and ensurethe implementation of board decisions.
- Maintain corporate documents and records, includingstatutory registers.
Regulatory Liaison :
- Act as the primary point of contact withregulators, including FINMA, and manage all necessaryfilings.
- Oversee the company's licensingprocess with FINMA as an authorized asset manager.
ComplianceManagement :
- Handlecompliance matters, including AML, cross-border activities, and duediligence processes.
- Develop and monitor thecompany's internal legal framework and provide compliance trainingto employees.
AdditionalResponsibilities :
- Establish legal arrangements between companies within theReal Estate Investment Company.
- Serve as DataProtection Officer (DPO) and member of the RiskCommittee.
- Act as Secretary of the Board ofDirectors.
Profile
Theideal candidate for the Corporate & Legal Counsel role willbe a highly skilled legal professional with a strong background incorporate law, regulatory compliance, and governance, particularlywithin the Swiss legal framework.
This individual should bringextensive experience in managing corporate secretarial duties,preferably within a multinational or real estate investmentenvironment.
KeyQualifications : Education :
Education :
- Bachelor's degree in Law, BusinessAdministration, or a related field.
- Professional qualification as a Corporate Secretary (suchas ICSA) is preferred.
- Admission to the bar inSwitzerland is highly desirable.
Experience :
- Minimum of 5 years of experience in acorporate secretarial or legal counsel role, preferably within amultinational organization or real estate investmentcompany.
- Proven experience working with FINMAand handling regulatory matters, including licensing andcompliance.
- Strong knowledge of Swisscorporate law, governance practices, and the ability to organizeand support board meetings effectively.
Skills andCompetencies :
- In-depth understanding of Swiss corporate and regulatorylaw, with a focus on corporate governance and legalcompliance.
- Excellent drafting, negotiation,and organizational skills, with the ability to manage multipletasks and deadlines in a fast-paced environment.
- Exceptional written and verbal communication skills inFrench and English; proficiency in Spanish or German is anadvantage.
- Strong interpersonal skills toeffectively liaise with regulators, external counsel, and internalstakeholders.
