YOUR IMPACT

As Senior Legal Counsel, Corporate Finance you will :

  • Run transactions from term sheet to closingwhether related to any type of financings but also shipbuilding contracts anddelivery of vessels in conjunction with the commercial and technical teamswithin the Finance Department.
  • Provide expert legal input and undertake drafting andnegotiation of contracts associated to asset financings such as traditionalloan facilities, ECA financings, structured financings such as tax leases oroff-balance sheet schemes, hedging agreements (ISDA, CSA).
  • Provide expert legal input andundertake drafting and negotiation of contracts associated to corporatefinancing such as revolving credit facility, bond issuance, securitization,reverse factoring etc
  • Provide expert legal input and undertakedrafting and negotiation of contracts related to construction, supervision anddelivery of container carriers, cruise vessels, etc.

but also sale and purchaseof such vessels.

  • Provide expert legal input and undertakedrafting and negotiation of contracts related to cash investment products.
  • Drive negotiation of legal terms with external counterparties andliaise efficiently with external advisers when putting in place the financings.
  • Put in place and implementprocedures to facilitate day to day work of the team such as follow up andvalidation of expenses, opening of bank accounts, KYC process and update of thearchiving system.
  • Monitor and ensure consistentviews amongst the group commitments and compliance with contractual terms andreport to Finance Directors on issues with recommended resolutions.

YOUR BACKGROUND

  • Proven experience inand expertise at negotiating and drafting related financing agreementsincluding with multilateral institutions, commercial banks, export creditagencies and leasing companies.
  • Minimumof 8 years of work experience in Financing related legal positions, preferablyin private practice with a focus on asset financing or corporate financing.
  • Perfect command ofEnglish and French both written and spoken.
  • UKqualification ideally.
  • Ability to operatewithin a small team in a demanding & dynamic environment whereconfidentiality is key.
  • Reactive, hard worker andattentive to details.

CONTRACT DETAILS

  • Based in Geneva.
  • Full Time.
  • Permanent Role.
  • Starting ASAP.
  • EU citizenship or valid Swiss work permit is required.
