Senior Legal Counsel

• Support and oversee the Groups corporate structure and governance activities across multiple jurisdictions.
• Ensure Group companies comply with internal and external corporate governance requirements.
• Maintain accurate corporate records and draft review and file corporate documentation.
• Develop and update corporate governance policies Group policies and procedures.
• Support M&A transactions and the post-acquisition integration of newly acquired entities.
• Provide legal advice and contract support to departments including Sales Business Development Engineering IT HR Finance and Procurement.
• Advise and train directors and employees on corporate governance responsibilities and legal obligations.
• Manage and guide paralegals identify legal risks and prepare reports on the Groups corporate activities.

Qualifications :

• Bachelors or Masters degree in Law; other relevant degrees or professional certifications are advantageous.
• At least 8 years of in-house legal experience covering commercial law corporate law and governance.
• Experience within the engineering or construction industry is preferred.
• Familiarity with Swiss corporate law governance models and legal entity management tools is advantageous.
• Fluent English is mandatory; German or other European languages are an advantage.
• Strong analytical and problem-solving skills with excellent attention to detail and organisation.
• Excellent written and verbal communication skills with the ability to explain complex legal matters clearly.
• Independent and collaborative working style with strong leadership relationship-building and risk-management capabilities.
