Providing general legal support to the Legal team on financing (primarily) and on an ad‑hoc basis, general corporate and commercial matters in a fast‑paced trading environment. Overview We are seeking a commercially minded Legal Counsel with 4–7 years’ PQE to support the legal execution and management of a broad range of transactions across a global commodity trading and financing business. The successful candidate will work closely with the Global Legal Financing Manager, the wider legal team, treasury and trade finance, traders, and relationship banks, providing day‑to‑day legal support on (trade) finance/treasury transactions and ad hoc legal/commercial advice. This is a hands‑on role requiring a lawyer who can operate with a high degree of autonomy and contribute immediately. Key Responsibilities Negotiating with financial institutions and review day‑to‑day financing agreements including repo and inventory and receivables and supply chain financing transactions and bilateral trade finance and syndicated and other ad‑hoc banking arrangements. Negotiate commercial contracts ancillary to the business e.g. agency and brokerage/clearing agreements, hedging agreements, warehousing and logistics agreements, and advising stakeholders on the legal and business implications of contracts. Support facility amendments, waivers, consents, renewals, extensions and refinancings. Coordinate transaction execution with external counsel, lenders and internal stakeholder. Review and prepare transaction documents and execution deliverables, including corporate authorisations, resolutions, certificates and other transaction support documentation. Own and manage conditions precedent and closing processes with counterparties and lenders. Collaborate with the Compliance and Responsible Business departments on initiatives including in the areas of financing. Support strategic projects and other matters required by the Global Legal Financing Manager and Chief Legal Officer.
